Item 8.01 Other Events.
 
On June 2, 2008, Standard & Poor’s (“S&P”) announced that it had lowered its counterparty credit ratings on Morgan Stanley to ‘A+/A-1’ from ‘AA-/A-1+’ and that it had lowered its counterparty credit ratings on two other major financial services firms.  The outlook assigned to Morgan Stanley by S&P remains negative.
