On January 11, 2024, Chesapeake Energy Corporation, an Oklahoma corporation (“Chesapeake”), and Southwestern Energy Company, a Delaware corporation (“Southwestern”), issued a joint press release announcing that Chesapeake and Southwestern have entered into an Agreement and Plan of Merger (the “Merger Agreement”) . The full text of the press release is included as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 7.01 by reference.
