Item 7.01Regulation FD Disclosure.

On May 2, 2022, VAALCO Energy, Inc. (the “Company”) issued a press release announcing its quarterly cash dividend of $0.0325 per share of common stock for the second quarter of 2022 ($0.13 annualized), which is payable June 24, 2022 to stockholders of record at the close of business on May 25, 2022. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.

VAALCO ENERGY DECLARES QUARTERLY DIVIDEND 

HOUSTON – May 2, 2022 – VAALCO Energy Inc. (NYSE: EGY; LSE: EGY) ("VAALCO" or the "Company")today declared its quarterly cash dividend of $0.0325 per share of common stock for the second quarter of 2022 ($0.13 annualized), which is payable June 24, 2022 to stockholders of record at the close of business on May 25, 2022. Future declarations of quarterly dividends and the establishment of future record and payment dates are subject to approval by the Board of Directors.

George Maxwell, VAALCO’s Chief Executive Officer, commented,"Our ability to execute on our strategy and deliver strong operational results allows us to continue to return meaningful cash to shareholders through our dividend while continuing to enhance the overall value of our assets.
