Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 15, 2012, DDR Corp. and John S. Kokinchak, Senior Executive Vice President and Chief Administrative Officer, agreed that his Employment Agreement, dated April 12, 2011 and which is scheduled to expire on December 31, 2012, will not be renewed as Mr. Kokinchak will be pursuing other opportunities in the real estate industry.
