Item 1.01 Entry into a Material Definitive Agreement.

On March 2, 2006, our stockholders approved the PLATO Learning, Inc. 2006 Stock Incentive Plan and our Board of Directors approved a revised compensation plan for our non-employee directors. Descriptions of these plans are attached hereto as Exhibits 10.29, 10.30, and 10.51.
