Effective March 3, 2005, General Dennis J. Reimer USA (Ret.), a Director of PLATO Learning, Inc. since 2000, resigned from our Board of Directors. With the resignation of General Reimer and the previously announced appointment of Michael A. Morache as a Director, our Board continues to have seven members.
