Item 7.01
Regulation FD Disclosure.

On July 11, 2019, Masonite International Corporation (the “Company”) issued a press release announcing the pricing of the private placement of $500 million aggregate principal amount of 5.375% senior notes due 2028 (the “notes”). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
The Company intends to use the net proceeds from the sale of the notes, together with existing available cash balances, to redeem all $500 million aggregate principal amount of its existing 5.625% Senior Notes due 2023 (the “2023 Notes”) at a purchase price of 102.813% of the principal amount thereof plus accrued and unpaid interest thereon to, but not including, the redemption date, and to pay related fees and expenses. The obligation of the Company to redeem the 2023 Notes will be conditioned upon the consummation of this offering of the notes. This Form 8-K does not constitute a notice of redemption of the 2023 Notes.
The Company is furnishing the information in this Item 7.01 to comply with Regulation FD. The information furnished pursuant to this Item 7.01, including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to liabilities under that section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act or the Exchange Act, whether made before or after the date hereof, regardless of any general incorporation language in such filing.
