(the “Company”) on Form S-8 (Registration No. 333-32535) registering 150,000 shares of Common Stock for issuance under the Plan are hereby incorporated herein by reference. Since the filing of the Company’s Registration Statement No. 333-32535 on July 31, 1997, the 150,000 shares of Common Stock covered by such Registration Statement have been increased under the Plan to 225,000 shares, pursuant to Rule 416 under the Securities Act, to give effect to a three-for-two stock split, effected as a 50% stock dividend, in June 1998.
