Item 8.01. Other Events.

 

On December 19, 2019, IAC/InterActiveCorp, a Delaware corporation (“IAC”), and Match Group, Inc., a Delaware corporation (“Match”) issued a joint press release announcing the execution of a transaction agreement (the “Transaction Agreement”) by and among IAC, Match, IAC Holdings, Inc., a Delaware corporation and a direct wholly owned subsidiary of IAC (“New IAC”), and Valentine Merger Sub LLC, a Delaware limited liability company and an indirect wholly owned subsidiary of IAC, pursuant to which IAC and Match will consummate a series of transactions in order to effect the separation of IAC and Match. A copy of the joint press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference. Additional details regarding the terms of the Transaction Agreement will be filed with the Securities and Exchange Commission (the “SEC”) separately.
