This Amendment No.1 to Form 8-K is being filed as an amendment to the Current Report on Form 8-K filed by Minerals Technologies Inc. (the "Company") on May 19, 2017.  The Form 8-K was filed to report the results of the matters submitted to a vote at its Annual Meeting of Shareholders held on May 17, 2017.  The sole purpose of this Amendment No. 1 is to disclose the Company's decision regarding the frequency of future shareholder advisory votes on the compensation of its named executive officers.  Except for the foregoing, this Amendment No. 1 does not modify or update any other disclosure contained in the Form 8-K that was filed on May 19, 2017.


Item 5.07 Submission of a Matter to a Vote of Security Holders.

On May 17, 2017, the Company held its Annual Meeting of Shareholders.  Shareholders were asked to consider and act upon, among other matters, an advisory vote on the frequency of an advisory vote on executive compensation.  As previously reported, a majority of the votes cast on the frequency proposal were cast in favor of holding an advisory vote on executive compensation every year.

The Company's Board of Directors has decided that it will be the Company's policy to include an advisory vote on executive compensation in its future proxy materials every year until the next shareholder vote on the frequency of these votes.
