Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2017, Barbara Smith, a member of the Company's Board of Directors (the "Board") since 2011, formally tendered her resignation from the Board effective as of July 3, 2017.  There were no disagreements between Ms. Smith and the Company giving rise to her resignation.
