Item 1.01 Entry into a Material Definitive Agreement.

In connection with the retirement of Frank P. Filipps from his positions as Chairman and Chief Executive Officer of the Company effective June 30, 2005, the Company and Mr. Filipps entered into an agreement on November 22, 2004. Pursuant to the agreement, Mr. Filipps agreed to continue his employment with the Company until June 30, 2005 and, for a transition period of up to eighteen months following the effective date of his retirement, Mr. Filipps agreed to provide transition services to the Company and not to compete with the Company in return for monthly payments from the Company equal to one-twelfth of his total 2004 salary and target bonus.
