Item 5.02  Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Alan Beauchamp, Executive Vice President and Chief Operating Officer of
Dynacq Healthcare, Inc., submitted his resignation from that position on Friday,
July 18, 2008, and will stay with the Company until August 15, 2008.
