Explanation of Responses:

1. Gift of shares received by one of the Robert L. and Claire H. Waltrip Children's Trusts, of which Mr. Waltrip is sole trustee and benefeciary. This amendment is being filed to correct the amount of securities beneficially owned following the reported transaction to be 212,000 shares (instead of 211,466 shares which was previously reported in error on the original Form 4). In addition in the Form 4s of the reporting person filed on and after May 15, 2008 and prior to December 2012, the number of shares owned by the Robert L. and Claire H. Waltrip Children's Trust for the benefit of the reporting person was incorrectly reported as 151,466 shares when the correct number was 152,000 shares.
