Item 1.01

Entry into a Material Definitive Agreement

On May 7, 2019, Service Corporation International (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Wells Fargo Securities, LLC, as representative of the several underwriters named therein, relating to the issuance and sale by the Company of $750 million in aggregate principal amount of 5.125% Senior Notes due 2029 (the “Notes”).

A copy of the Underwriting Agreement is filed as Exhibit 1.1 to this Current Report on Form 8-K and the description of the terms thereof is qualified in its entirety by reference to such exhibit, which is incorporated herein by reference.

Other Information

On May 7, 2019, the Company announced the pricing of the Notes. The Company expects to close the sale of the Notes on or about May 21, 2019, subject to the satisfaction of customary closing conditions. The press release relating to the pricing of the Notes is attached as Exhibit 99.1 and is incorporated herein by reference.
