Explanatory Note

This Amendment No. 1 on Form 8-K/A amends the Current Report on Form 8-K of Ameri Holdings, Inc. filed with the Securities and Exchange Commission on October 30, 2019 (the “Original Filing”).  This Amendment No. 1 is being provided solely to correct the adjourned meeting date.

No other changes have been made to the Original Filing.

Other Events

On October 29, 2019, Ameri Holdings, Inc. (the “Company”) commenced its Annual Meeting of Stockholders (the “Annual Meeting”) as previously scheduled and adjourned the meeting until November 8, 2019 at 10:00 a.m., Eastern Standard Time.

The reconvened Annual Meeting will be held at the 30 Rockefeller Plaza, 38th Floor, New York, NY 10112. Stockholders who have already voted do not need to recast their votes. Proxies previously submitted in respect of the meeting will be voted at the adjourned meeting unless properly revoked.

A copy of the press release announcing the adjournment of the Annual Meeting is attached hereto as Exhibit 99.1.
