Item 1.01. Entry into a Material Definitive Agreement

On August 26, 2004, the Registrant announced that , through its wholly-owned subsidiary, Desper Products, Inc., it entered into a major multi-technology licensing agreement with Samsung Electronics, Co. Ltd on August 22, 2004. Attached hereto and incorporated herein by reference as Exhibit 99.1 is the press release regarding the new licensing agreement.
