Item 1.01 Entry Into a Material Definitive Agreement
 
On July 7, 2009, Spatializer Audio Laboratories, Inc. entered into Subscription Agreements with certain listed purchasers described in a Form 8-K of even date.  While such raise ($36,450) constituted a private placement properly exempt from the Securities Act of 1933 pursuant to Section 4(2) and Regulation D Rule 505 thereunder, the sale price (ignoring sweat equity) was discovered during preparation of its financials for the quarter to be less than the Company’s $.01 par value.  Accordingly, such sale was voided and the funds received are instead being treated as accounts payable.
