Item 8.01.    Other Events.
 
On March 2, 2011, the Delaware Supreme Court (the “Court”) heard oral arguments in the appeal by Yucaipa American Alliance Fund II, L.P. and Yucaipa American Alliance (Parallel) Fund II, L.P. (collectively, “Yucaipa”) of the Delaware Court of Chancery’s August 12, 2010 decision in the Yucaipa American Alliance Fund II, L.P., et al. v. Leonard Riggio,
et al. litigation, which dismissed Yucaipa’s challenge to Barnes & Noble, Inc.’s shareholder rights plan.  On March 3, 2011, the day following oral arguments, the Court affirmed by summary order the Court of Chancery’s decision.
