Item 8.01 Other Events.

 

On February 2, 2018, Vertex Energy, Inc. (the “Company”), received notice from the Listing Qualifications Department of The NASDAQ Stock Market LLC (“Nasdaq”), notifying the Company that it was back in compliance with the minimum bid price requirements set forth in Nasdaq Listing Rule 5550(a)(2) for continued listing on The Nasdaq Capital Market.

 

The Company was previously notified on September 22, 2017, that it was not in compliance with Nasdaq Listing Rule 5550(a)(2) because its common stock had failed to maintain a minimum bid price of $1.00 per share for a period of thirty (30) consecutive business days.

 

Pursuant to the February 2, 2018 letter, Nasdaq notified the Company that the closing bid price of the Company’s common stock had exceeded $1.00 for the prior 10 consecutive days and as such the Company has regained compliance with Listing Rule 5550(a)(2) and the matter is now closed.
