Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements with Certain Officers.

On December 19, 2014, Stephen P. Sarno, our Vice President, Finance and Chief Accounting Officer, notified us that he intends to resign his employment to pursue opportunities outside of Exa. Mr. Sarno’s last day of employment with us is expected to be January 9, 2015 and he will support an extended transition period beyond that.

Following the effective date of Mr. Sarno’s resignation, Richard F. Gilbody, our Chief Financial Officer, will serve as our principal accounting officer.
