Item 7.01 — Regulation FD Disclosure

On December 4, 2009, PrivateBancorp, Inc. announced that its board of directors declared a quarterly cash dividend of $0.01 per share payable on December 31, 2009 to stockholders of record on December 17, 2009. Attached as Exhibit 99.1 is a copy of the press release relating to the announcement, which is incorporated herein by reference.
