EXPLANATORY NOTE
This Post-Effective Amendment No. 1 to Form S-3 on Form S-1 Registration Statement is being filed to convert our registration statement on Form S-3 (Registration No. 333-173542) declared effective by the Securities and Exchange Commission, or the Commission, on May 23, 2011, which registered shares of common stock for resale, from time to time, on behalf of certain selling shareholders, into a registration statement on Form S-1. Upon the date of filing its Annual Report on Form 10-K for the fiscal year ended June 30, 2013 with the Commission, the Registrant will no longer be eligible to use Form S-3 in connection with the current offering. All filing fees payable in connection with the registration of these securities were previously paid in connection with the filing of the original registration statement.

This prospectus relates to the resale or other disposition by certain selling shareholders identified in this prospectus, or their transferees, of up to an aggregate of (i) 8,653,045 outstanding shares of common stock, (ii) 3,898,703 shares of common stock issuable upon the exercise of outstanding warrants and (iii) 12,464 shares of common stock issued upon exercise of a warrant in June 2012. The 8,653,045 shares of common stock and warrants exercisable to purchase up to 3,807,331 shares of common were issued and sold to certain selling shareholders pursuant to a Purchase Agreement, dated as of March 16, 2011, between the Company and the selling shareholders party thereto, or the Purchase Agreement. In June 2012, we issued 12,464 shares of common stock upon exercise of a warrant acquired in such offering. The remaining warrants to purchase up to 103,836 shares of common stock represent a portion of the warrants initially issued to the placement agent as partial compensation for its services in connection with the transactions contemplated by the Purchase Agreement that were subsequently transferred to certain selling shareholders identified in this prospectus.

Recent Developments
Sphere 3D Corporation Transaction
In July 2013, we entered into a supply agreement, and a technology license agreement, with Sphere 3D Corporation, or Sphere 3D. As consideration for the transactions contemplated by the technology license agreement, we paid Sphere 3D $250,000 in cash and issued Sphere 3D 213,220 shares of our common stock, having a value at the time of issuance of approximately $250,000. The issuance of these shares was exempt from registration under Section 4(2) of the Securities Act as sales of securities not involving a public offering. In July 2013, as partial payment under the supply agreement, Sphere 3D issued 769,231 common shares having a value equal to approximately $500,000 to us. On August 30, 2013, as quoted on the TSX Venture Exchange, the closing price of Sphere 3Ds common stock was $2.67 CAD, approximately $2.54.
In connection with the Sphere 3D transaction, Eric Kelly, our President and Chief Executive Officer, was appointed the chairman of the board of directors of Sphere 3D. Mr. Kelly was also awarded, subject to the approval of Sphere 3Ds shareholders, an option to purchase up to 850,000 shares of common stock of Sphere 3D with an exercise price of $0.65 CAD, or approximately $0.63, which we believe represents approximately 5% of Sphere 3Ds outstanding shares.
Amendment to Silicon Valley Bank Credit Facility
In August 2013, we amended our Silicon Valley Bank credit facility to, among other things, extend the maturity date to August 7, 2015 and add a separate credit line of $750,000 for letters of credit, foreign exchange contracts and cash management, which is in addition to the existing $8,000,000 revolving line of credit.
Legal Proceedings
In May 2013, in our patent infringement case against BDT AG and its affiliates, the United States International Trade Commission, or the ITC, issued a Notice of Decision that upheld the findings of the Remand Initial Determination and terminated the investigation. In June 2013, the ITC issued a public version of the Commission Opinion on Remand. For additional information on this patent infringement lawsuit, see Item 3. Legal Proceedings of our Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 2013, filed with the SEC on May 15, 2013, which is incorporated herein by reference.
In May 2013, Safe Storage LLC, a Delaware limited liability company, filed a complaint against us in the United States District Court for the District of Delaware alleging infringement of U.S. Patent No. 6,978,346 by our products. Safe Storage is seeking monetary damages from us and injunctive relief.
March 2011 Financing
On March 16, 2011, we entered into a Purchase Agreement, or the Purchase Agreement, with certain investors party thereto, or the Investors, pursuant to which we agreed to issue to the Investors in a private placement shares of common stock, no par value per share, and warrants exercisable to purchase shares of common stock, or the Warrants, for an aggregate offering price of approximately $15.4 million, or the Offering. The purchase price for one share of common stock and a warrant to purchase 0.44 shares of common stock was $1.765. On March 21, 2011, we closed the Offering and issued and sold to the Investors an aggregate of 8,653,045 shares of common stock and Warrants initially exercisable to purchase up to 3,807,331 shares of common stock, for an aggregate offering price of approximately $15.3 million.
Each Warrant has an initial exercise price of $1.71 per share of Common Stock. The Warrants are immediately exercisable and have a five year term. In June 2012, we issued 12,464 shares of common stock upon exercise of a Warrant.

In connection with the Offering and as partial compensation for the services of Roth Capital Partners, LLC, as placement agent, or the Placement Agent, we issued to the Placement Agent warrants initially exercisable to purchase up to 259,591 shares of Common Stock at an exercise price of $1.71 per share of Common Stock and otherwise on terms substantially the same as the Warrants, or the Placement Agent Warrants. The Placement Agent subsequently transferred a portion of the Placement Agent Warrants to certain selling shareholders identified in this prospectus.
We also entered into a Registration Rights Agreement, or the Registration Rights Agreement, dated as of March 21, 2011 with the Investors and the Placement Agent. Pursuant to the Registration Rights Agreement, we agreed to file a registration statement with the SEC within 30 days of closing the Offering, or the Filing Deadline, to register the resale of the shares of common stock issued in the Offering and issuable upon exercise of the Warrants and the Placement Agent Warrants described below. The registration statement of which this prospectus forms a part has been filed to satisfy this obligation. We have agreed to register with the SEC the shares of common stock issued in the Offering and issuable upon exercise of the Warrants and the Placement Agent Warrants for resale. The Placement Agent has elected to not include the shares of common stock issuable upon exercise of the Placement Agent Warrants that it still holds in the registration statement of which this prospectus forms a part. In addition, subject to certain limited exceptions, if we do not meet certain obligations set forth in the Registration Rights Agreement, we will be required to pay liquidated damages in an amount equal to 2.0% of the aggregate amount invested by each selling shareholder for each 30-day period (or a pro rata portion thereof) during which we are not in compliance with the terms of the Registration Rights Agreement.

Risks Related to our Company
We may not have sufficient funds to repay our convertible notes when due and the conversion of the notes or additional payments of interest on the notes in shares may cause dilution to our existing shareholders.
In February 2013, we sold convertible notes in an aggregate original principal amount of $13.25 million to investors in a private placement and the notes are scheduled to mature in February 2017. In the event we are unable to repay the notes when due or extend the notes, we may be unable to continue our business operations. If we were unable to repay the notes when required, the note holders could commence legal action against us to recover the amounts due. Additionally, the notes are convertible into 10,192,304 shares of common stock at an initial conversion price of $1.30 per share and automatically convert into shares of common stock upon the occurrence of certain events. The notes provide that we may pay interest on the notes in cash or in shares of common stock at our option and at any time certain note holders collectively hold 20% or more of the then-outstanding common stock, those holders will have the option to determine whether the applicable interest payment payable to such holders is payable in cash or shares of common stock. In June 2013, we elected to pay interest on the notes in shares of common stock, which also resulted in a downward adjustment to the exercise price of certain of our outstanding warrants and an increase in the number of shares issuable upon exercise of such warrants. As a result, we will receive less proceeds from the exercise of those warrants, if any. The conversion of the notes or the additional issuance of shares of common stock as payment of interest on the notes could cause substantial dilution to our shareholders.
We have pledged substantially all of our assets to our lenders.
We have existing obligations outstanding in the amount of $3.5 million in debt to Silicon Valley Bank and $13.25 million in debt pursuant to outstanding convertible notes. We have pledged 65% of the stock of our foreign subsidiaries as security on such convertible notes and the initial purchasers of such convertible notes may foreclose on 65% of the stock in our foreign subsidiaries if we fail to pay the convertible notes when they become due. If we fail to repay Silicon Valley Bank when our obligations are due, Silicon Valley Bank may foreclose on substantially all of our assets other than the 65% of the stock of our foreign subsidiaries, which could result in a complete loss of investment for our shareholders.
If our common stock is delisted from the NASDAQ Capital Market, our business, financial condition, results of operations and stock price could be adversely affected, and the liquidity of our stock and our ability to obtain financing could be impaired.
On January 2, 2013, we received a notice from The NASDAQ Stock Market LLC stating that for the last 30 consecutive business days our common stock had not maintained a minimum market value of listed securities, or MVLS, of $35 million as required for continued listing on the NASDAQ Capital Market under NASDAQ Listing Rule 5550(b)(2). In accordance with NASDAQ Listing Rule 5810(c)(3)(C), we had 180 calendar days, or until July 1, 2013, to regain compliance with the MVLS requirement. On July 2, 2013, we received the expected written notification from The NASDAQ Stock Market LLC of the Staffs decision to delist our securities from

the NASDAQ Capital Market as a result of our failure to comply with the minimum MVLS requirement. To regain compliance with such rule, the MVLS (which is determined based on closing bid price of our common stock on the NASDAQ Capital Market) would have had to have been at least $35 million for ten consecutive trading days during the period from January 2, 2013 through July 1, 2013. Based on the number of shares of common stock outstanding as of June 27, 2013, the MVLS would have exceeded $35 million if such closing bid price was at least $1.17 per share for the ten trading day period referred to above. We timely requested an appeal before the NASDAQ Listing Qualifications Panel, or the Panel, to seek continued listing pending our return to compliance with the minimum MVLS requirement under NASDAQ Listing Rule 5550(b)(2). As a result, the delisting has been stayed pending a decision by the Panel following the hearing, which was held on August 8, 2013. There can be no assurance that Panel will grant our request for continued listing on the NASDAQ Capital Market.
Any delisting of our common stock from the NASDAQ Capital Market could adversely affect our ability to attract new investors, decrease the liquidity of our outstanding shares of common stock, reduce our flexibility to raise additional capital, reduce the price at which our common stock trades, and increase the transaction costs inherent in trading such shares with overall negative effects for our shareholders. In addition, delisting of our common stock could deter broker-dealers from making a market in or otherwise seeking or generating interest in our common stock, and might deter certain institutions and persons from investing in our securities at all. For these reasons and others, delisting could adversely affect our business, financial condition and results of operations.
Our ability to compete depends in part on our ability to protect our intellectual property rights.
We rely on a combination of patent, copyright, trademark, trade secret and other intellectual property laws to protect our intellectual property rights. However, these rights may not prevent competitors from developing products that are substantially equivalent or superior to our products. To the extent that we have or obtain patents, such patents may not afford meaningful protection for our technology and products. Others may challenge our patents and, as a result, our patents could be narrowed, invalidated or declared unenforceable. The patents that are material to our business will begin to expire in November 2015. In addition, our current or future patent applications may not result in the issuance of patents in the United States or foreign countries. The laws of certain foreign countries may not protect our intellectual property to the same extent as U.S. laws. Furthermore, competitors may independently develop similar products, duplicate our products or, if patents are issued to us, design around these patents.
In order to protect or enforce our patent rights, we may initiate interference proceedings, oppositions, or patent litigation against third parties, such as infringement suits. Such enforcement efforts could be expensive and divert managements time and attention from other business concerns. The patent position of information technology firms in particular is highly uncertain, involves complex legal and factual questions, and continues to be the subject of much litigation. No consistent policy has emerged from the U.S. Patent and Trademark Office or the courts regarding the breadth of claims allowed or the degree of protection afforded under information technology patents.
In August and October 2010, we filed patent infringement lawsuits in the United States District Court for the Southern District of California and the ITC, respectively, against various parties. Both lawsuits claim infringement of two of our United States patents, Nos. 6,328,766 and 6,353,581.
In November 2011, we entered into a multi-year settlement and cross-licensing agreement with IBM pursuant to which we released all claims we had against IBM and Dell in connection with the patent infringement lawsuits we had filed in the United States District Court for the Southern District of California and at the ITC against BDT AG and certain of its affiliates, IBM and Dell. However, our infringement case against BDT AG and its affiliates continued. In June 2012, the Chief Administrative Law Judge of the ITC issued a public notice of the Initial Determination affirming that both of our asserted patents are valid, but that BDT did not violate

Section 337 of the Tariff Act of 1930. In July 2012, the ITC released the public version of the Initial Determination, which found that the six asserted claims of U.S. Patent No. 6,328,766 were valid. The Initial Determination found no infringement of U.S. Patent No. 6,353,581, but concluded the asserted claims of the patent were valid.
In November 2012, the full Commission issued an opinion that did not revisit the Chief Administrative Law Judges conclusion that BDTs customers directly infringe every asserted claim of U.S. Patent No. 6,328,766, and affirmed the validity of the asserted claims of U.S. Patent No. 6,353,581. The Commission remanded certain aspects of the Chief Administrative Law Judges validity findings for U.S. Patent No. 6,328,766. In March 2013, the Chief Administrative Law Judge of the ITC issued a public notice of the Remand Initial Determination. The Remand Initial Determination held that there is no infringement of certain claims of U.S. Patent No. 6,353,581, and that the six asserted claims of U.S. Patent No. 6,328,766 are invalid as anticipated. In May 2013, the ITC granted in part our request to review the Remand Initial Determination, and reviewed the findings that BDTs FlexStor II® product line does not infringe one claim of U.S. Patent No. 6,353,581, and that the asserted claims of U.S. Patent No. 6,328,766 are invalid as anticipated. In June 2012, we filed five additional patent infringement lawsuits in the United States District Court for the Southern District of California against seven companies. In February 2013, we filed a joint motion to dismiss our case against one of the seven companies. For additional information on these patent litigation lawsuits, see Item 3. In August 2012, Quantum Corporation filed counterclaims against us in the United States District Court for the Southern District of California action, alleging trademark infringement and unfair competition claims, and infringement of United States Patent Nos. 5,491,812, 6,542,787, 6,498,771 and 5,925,119 by our products. Quantum is seeking monetary damages from us and injunctive relief. In April 2013, Quantum filed a complaint against us in the United States District Court for the Southern District of California alleging infringement of U.S. Patent No. 7,263,596 by our products. Quantum is seeking monetary damages from us and injunctive relief.
In May 2013, Safe Storage LLC, a Delaware limited liability company, filed a complaint against us in the United States District Court for the District of Delaware alleging infringement of U.S. Patent No. 6,978,346 by our products. Safe Storage is seeking monetary damages from us and injunctive relief.
Our business may be harmed if growth in the storage market declines.
Our industry has experienced significant historical growth due to the continuing increase in the demand for storage by consumers, enterprises and government bodies around the world, and our customers purchases of storage solutions to address this demand. While information technology, spending has fluctuated periodically due to technology transitions and changing economic and business environments, overall growth in demand for storage has continued. Recent technology trends, such as the emergence of hosted (or cloud) storage, software as a service and mobile data access are driving significant changes in storage architectures and solution requirements. The impact of these trends on overall long-term growth patterns is uncertain. Nevertheless, if the general level of historic industry growth, or if the growth of the specific markets in which we compete, were to decline, our business and results of operations could suffer.

CERTAIN RELATIONSHIPS AND RELATED PERSON TRANSACTIONS
In July 2013, we entered into a supply agreement, and a technology license agreement, with Sphere 3D. As consideration for the transactions contemplated by the technology license agreement, we paid Sphere 3D $250,000 in cash and issued Sphere 3D 213,220 shares of our common stock, having a value at the time of issuance of approximately $250,000. The issuance of these shares was exempt from registration under Section 4(2) of the Securities Act as sales of securities not involving a public offering. In July 2013, as partial payment under the supply agreement, Sphere 3D issued 769,231 common shares having a value equal to approximately $500,000 to us. On August 30, 2013, as quoted on the TSX Venture Exchange, the closing price of Sphere 3Ds common stock was $2.67 CAD, or approximately $2.54.
In connection with the Sphere 3D transaction, Eric Kelly, our President and Chief Executive Officer, was appointed the chairman of the board of directors of Sphere 3D. Mr. Kelly was also awarded, subject to the approval of Sphere 3Ds shareholders, an option to purchase up to 850,000 shares of common stock of Sphere 3D with an exercise price of $0.65 CAD, or approximately $0.63, which we believe represents approximately 5% of Sphere 3Ds outstanding shares.

Certain Provisions Affecting Control of Our Company

California Law
Section 1203 of the California General Corporation Law, or the CGCL, provides that if a tender offer or a written proposal for approval of a reorganization of a corporation or a sale of substantially all of its assets is made by an interested party, the person making the offer must deliver an affirmative opinion to each shareholder in writing as to the fairness of the consideration to be received by the shareholders. The term interested party means a person who is a party to the transaction and who

Indemnification Provisions
California Incorporation
Section 317 of the CGCL provides a detailed statutory framework covering limitation of liability of directors in certain instances and indemnification of any officer or other agent of a corporation who is made or threatened to be made a party to any legal proceeding by reason of his or her services on behalf of such corporation.
With respect to limitation of liability, the CGCL permits a California corporation to adopt a provision in its articles of incorporation reducing or eliminating the liability of a director to the corporation or its shareholders for monetary damages for breach of the fiduciary duty of care, provided that such liability does not arise from certain proscribed conduct (including intentional misconduct and breach of duty of loyalty). The CGCL in this regard relates only to actions brought by shareholders on behalf of the corporation (i.e., derivative actions) and does not apply to claims brought by outside parties.
With respect to indemnification, the CGCL provides that to the extent any officer, director or other agent of a corporation is successful on the merits in defense of any legal proceeding to which such person is a party or is threatened to be made a party by reason of his or her service on behalf of such corporation or in defense of any claim, issue, or matter therein, such agent shall be indemnified against expenses actually and reasonably incurred by the agent in connection therewith, but does not require indemnification in any other circumstance. The CGCL further provides that in derivative suits a corporation may indemnify such a person against expenses incurred in such a proceeding, provided such person acted in good faith and in a manner he or she reasonably believed to be in the best interests of the corporation and its shareholders. Indemnification is not available in derivative actions (i) for amounts paid or expenses incurred in connection with a matter that is settled or otherwise disposed of without court approval or (ii) with respect to matters for which the agent shall have been adjudged to be liable to the corporation unless the court shall determine that such person is entitled to indemnification.
The CGCL permits the advancing of expenses incurred in defending any proceeding against a corporate agent by reason of his or her service on behalf of the corporation upon the giving of a promise to repay any such sums in the event it is later determined that such person is not entitled to be indemnified. Finally, the CGCL

provides that the indemnification provided by the statute is not exclusive of other rights to which those seeking indemnification may be entitled, by bylaw, agreement or otherwise, to the extent additional rights are authorized in a corporations articles of incorporation. The law further permits a corporation to procure insurance on behalf of its directors, officers and agents against any liability incurred by any such individual, even if a corporation would not otherwise have the power under applicable law to indemnify the director, officer or agent for such expenses.
Our articles of incorporation and bylaws implement the applicable statutory framework by limiting the personal liability of directors for monetary damages for a breach of a directors fiduciary duty of care and making indemnification mandatory in those situations where it is merely permissible under the CGCL.
General
We also maintain insurance for our officers and directors against certain liabilities, including liabilities under the Securities Act. The effect of this insurance is to indemnify any of our officers or directors against expenses, including attorneys fees, judgments, fines and amounts paid in settlement, incurred by an officer or director upon a determination that such person acted in good faith. We pay the premiums for this insurance.

March 2011 Financing
On March 16, 2011, we entered into the Purchase Agreement with the Investors, pursuant to which we agreed to issue to the Investors in a private placement shares of common stock, no par value per share, and the Warrants, for an aggregate offering price of approximately $15.4 million, or the Offering. The purchase price for one share of common stock and a warrant to purchase 0.44 shares of common stock was $1.765. On March 21, 2011, we closed the Offering and issued and sold to the Investors an aggregate of 8,653,045 shares of common stock and Warrants initially exercisable to purchase up to 3,807,331 shares of common stock, for an aggregate offering price of approximately $15.3 million.
Each Warrant has an initial exercise price of $1.71 per share of Common Stock. The Warrants are immediately exercisable and have a five year term. In June 2012, we issued 12,464 shares of common stock upon exercise of a Warrant.
In connection with the Offering and as partial compensation for the services of Roth Capital Partners, LLC, as placement agent, or the Placement Agent, we issued to the Placement Agent warrants initially exercisable to purchase up to 259,591 shares of Common Stock at an exercise price of $1.71 per share of Common Stock and otherwise on terms substantially the same as the Warrants, or the Placement Agent Warrants. The Placement Agent subsequently transferred a portion of the Placement Agent Warrants to certain selling shareholders identified in this prospectus.
We also entered into a Registration Rights Agreement, or the Registration Rights Agreement, dated as of March 21, 2011 with the Investors and the Placement Agent. Pursuant to the Registration Rights Agreement, we agreed to file a registration statement with the SEC within 30 days of closing the Offering, or the Filing Deadline, to register the resale of the shares of common stock issued in the Offering and issuable upon exercise of the Warrants and the Placement Agent Warrants described below. At your request, we have examined the Registration Statement on Post-Effective Amendment No. 1 to Form S-3 on Form S-1 to be filed by you with the Securities and Exchange Commission (SEC) on or about September 6, 2013 (the Registration Statement), in connection with the registration under the Securities Act of 1933, as amended (the Securities Act), of an aggregate of (i) 8,653,045 shares of your common stock, no par value per share (the Common Shares), (ii) 3,898,703 shares of your common stock, no par value per share (the Warrant Shares), issuable upon exercise of outstanding warrants (the Warrants) and (iii) 12,464 shares of your common stock issued upon exercised of a Warrant in June 2012 (the June 2012 Shares and, together with the Common Shares and the Warrant Shares, the Shares). The Shares are accompanied by a Common Stock purchase right (Purchase Right) pursuant to the Shareholder Rights Agreement, dated August 22, 2005, as amended by Amendment No. 1 to Shareholder Rights Agreement dated March 21, 2011, between the Company and Wells Fargo Bank, N.A., as Rights Agent (the Rights Agreement). We understand that the Shares are to be sold by the selling shareholders to the public from time to time as described in the Registration Statement.
We have examined originals or copies of those corporate and other records and documents we considered appropriate. In our examination, we have assumed the legal capacity of all natural persons, the genuineness of all signatures, the authenticity of all documents submitted to us as originals, the conformity to original documents of all documents submitted to us as certified, conformed or photostatic copies and the authenticity of the originals of such latter documents. As to any facts material to the opinions expressed herein which were not independently established or verified, we have relied upon oral or written statements and representations of officers and other representatives of the Company.
In connection with the opinions expressed below, we have assumed that, at or prior to the time of delivery of any Shares or Warrants, (i) the Board of Directors of the Company (the Board of Directors) has taken all necessary corporate action to authorize the issuance and sale of such Shares and Warrants and such authorization has not been modified or rescinded, (ii) the Registration Statements effectiveness has not been terminated or rescinded, (iii) an appropriate prospectus supplement with respect to such Shares or Warrants has been prepared, delivered and filed in compliance with the Securities Act and the applicable rules and regulations thereunder, (iv) there has not occurred any change in law affecting the validity or enforceability of such Shares or Warrants and (v) a sufficient number of shares of Common Stock is authorized and available for issuance. We have also assumed that the terms of the issuance and sale of any Shares or Warrants have been duly established in conformity with the Amended and Restated Articles of Incorporation of the Company, as amended, as presently in effect (the Articles of Incorporation) and the Amended and Restated Bylaws of the Company, as amended, as presently in effect (the Bylaws), and that none of the terms of any Shares or Warrants to be established after the date hereof, nor the issuance and delivery of such Shares or Warrants, nor the compliance by the Company with the terms of such Shares or Warrants will violate any applicable law or public policy or result in a violation of any provision of any instrument or agreement then binding upon the Company or any restriction imposed by any court or governmental body having jurisdiction over the Company.
On the basis of such examination, our reliance upon the assumptions in this opinion and our consideration of those questions of law we considered relevant, and subject to the limitations and qualifications in this opinion, we are of the opinion that:
(i) The Common Shares have been duly authorized by all necessary corporate action on your part and are validly issued, fully paid and non-assessable.
(ii) The Warrant Shares have been duly authorized by all necessary corporate action on your part and, upon payment for, and delivery of, the Warrant Shares in accordance with the Warrants if issued upon exercise on the date hereof in accordance with the terms of the Warrants, will be validly issued, fully paid and non-assessable.
(iii) When certificates representing the Shares in the form required under the California Corporations Code have been duly executed, countersigned, registered and delivered upon payment of the agreed upon consideration therefor, or, in the case of Shares issued in street name, the Shares have been entered on the books of the transfer agent and registrar under the names of the nominal owners, the issuance and sale of such Shares will have been duly authorized by all necessary corporate action on the part of the Company, and such Shares will be validly issued, fully paid and nonassessable and the Purchase Rights will be legally valid and binding obligations of the Company, enforceable against the Company in accordance with their terms and under California law, except as may be limited by bankruptcy, insolvency, reorganization, moratorium or similar laws relating to or affecting creditors rights generally (including, without limitation, fraudulent conveyance laws), and by general principles of equity including, without limitation, concepts of materiality, reasonableness, good faith and fair dealing and the possible unavailability of specific performance or injunctive relief, regardless of whether considered in a proceeding in equity or at law.
With respect to our opinion as to the Purchase Rights, we have assumed that, at the time of issuance and sale of the Shares, that the Rights Agreement has been duly authorized, executed and delivered by the Rights Agent and that the members of the Board of Directors have acted in a manner consistent with their fiduciary duties as required under applicable law in adopting the Rights Agreement. This opinion does not address the determination a court of competent jurisdiction may make regarding whether the Board of Directors of the Company would be required to redeem or terminate, or take other action with respect to, the Purchase Rights at some future time based on the facts and circumstances existing at that time. In addition, it should be understood that our opinion addresses the Rights Agreement and the Purchase Rights in their entirety and not any particular provision of the Rights Agreement or the Purchase Rights. It should also be understood that it is not settled whether the invalidity of any particular provision of a rights agreement or of rights issued thereunder would result in invalidating such rights in their entirety.
The law covered by this opinion is limited to the present law of the State of California and the State of New York. We express no opinion as to the laws of any other jurisdiction and no opinion regarding the statutes, administrative decisions, rules, regulations or requirements of any county, municipality, subdivision or local authority of any jurisdiction.
