Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 12, 2013, HCC Insurance Holdings, Inc. (the Company) announced that Hans D. Rohlf had been elected to serve as a member of the Companys Board of Directors (the Board), effective November 11, 2013. Mr. Rohlf, 62, currently serves as Managing Director for the North American Property & Casualty business of Hannover Re, a position that he has held since 1995 and from which he plans on retiring at the end of November 2013. From 1977 to 1995, Mr. Rohlf held a variety of positions of increasing responsibility with Hannover Re, including serving as the head of the Retrocessional Department and head of the U.S. and Aviation businesses. Mr. Rohlf will serve on the Boards Enterprise Risk Oversight Committee.
Mr. Rohlf will be compensated in accordance with the Companys standard compensation practices for non-employee directors as more fully described in Companys Proxy Statement dated April 12, 2013. As part of that compensation, Mr Rohlf will be granted shares of the Companys common stock with a value equal to $41,863, the pro-rated portion of the standard $80,000 annual equity retainer for non-employee directors.

HCC Insurance Holdings, Inc. (NYSE: HCC) today announced that Hans D. Rohlf, 62, has been elected as an independent member of the Companys Board of Directors.
We are very pleased to have an executive of Hans stature join our Board. He is well-respected throughout the insurance industry for his extensive experience, breadth of knowledge, and ability to build and grow reinsurance and insurance businesses, said Christopher J.B. Williams, HCCs Chief Executive Officer.
Mr. Rohlf will serve on the Enterprise Risk Oversight Committee, as well as the Board of Directors of HCCs subsidiary company, HCC International Insurance Company PLC. Since 1995, he has served as the Managing Director of Hannover Res North American Property & Casualty Business. Previously, Mr. Rohlf held several positions with Hannover Re, including Senior Vice President and Head of the U.S. and Aviation Businesses, and Head of the Retrocessional Department. He joined Hannover Re in 1977.
