State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
HCC Insurance Holdings, Inc.’s (the “Company”) second quarter report on Form 10-Q was delayed following the initiation of its independent voluntary internal review of its stock option granting practices. At that time the Company filed a Form 12b-25 Notification of Late Filing and then issued a subsequent press release announcing that it would be unable to file its quarterly report until such time as the independent review was completed.

On November 8, 2006, the Company filed a Form 8-K/A, announcing that such review is still in process. As a result, the Company is not able to file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2006 within the time period prescribed by the report.
