On July 6, 2011, Omega Healthcare Investors, Inc. issued a press release announcing the extension of its previously announced exchange offer for $575 million of its 6¾% senior notes due 2022 to 5:00 p.m. Eastern Time on July 13, 2011, unless further extended.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

OMEGA EXTENDS EXCHANGE OFFER FOR
$575 MILLION OF ITS 6¾% SENIOR NOTES DUE 2022

HUNT VALLEY, MARYLAND – July 6, 2011 – Omega Healthcare Investors, Inc. (NYSE:OHI) today announced an extension of its offer to exchange $575 million of its 6¾% Senior Notes due 2022 that have been registered under the Securities Act of 1933, for $575 million of its outstanding 6¾% Senior Notes due 2022.

Omega has extended the exchange offer so that it will now expire at 5:00 p.m. Eastern Time on July 13, 2011, unless further extended.

As of 5:00 p.m. Eastern Time today, as reported by U.S. Bank National Association, the exchange agent for the exchange offer, approximately 99.4% of the outstanding notes were tendered in the exchange offer.
