ITEM 2.02. Results of Operations and Financial Condition.

On March 10, 2005, the Company issued a press release regarding its financial results for the fourth fiscal quarter and fiscal year ended January 29, 2005. A copy of the press release is attached hereto as Exhibit 99.1.
