Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b)           Guy Avidan, Co-President of MRV Communications, Inc. (the “Company”) and President of the Company’s Network Equipment Group, has decided to leave the Company.  The date of Mr. Avidan’s departure has yet to be determined, but he has agreed to remain as a Vice President of the Company at least through January 31, 2010 to assist in the transition.  Mary Jane Gruninger, currently general manager of the Company’s Boston Product Division, will step into the role of President of the Network Equipment Group on an interim basis while the Company conducts a search for Mr. Avidan’s replacement.
