Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Departure of Chief Accounting Officer. On March 7, 2013, Gina Mastantuono, Senior Vice President, Chief Accounting Officer, Corporate Controller and International Finance for Revlon, Inc. ("Revlon") and Revlon Consumer Products Corporation, Revlon’s wholly owned operating subsidiary ("RCPC," and together with Revlon, the "Company"), tendered her resignation from the Company effective April 5, 2013 to pursue a career opportunity in California. Ms. Mastantuono’s resignation is not the result of any issue or concern with the Company’s accounting, financial reporting or internal control over financial reporting.

Upon Ms. Mastantuono’s departure, Steven Berns, the Company’s Executive Vice President and Chief Financial Officer, will also serve as the Company’s Chief Accounting Officer. Mr. Berns is a Certified Public Accountant and Ms. Mastantuono and Mr. Berns will work together to ensure a smooth transition of the Company's accounting responsibilities.
