Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

At its regularly scheduled meeting on August 19, 2020, the board of directors of Premier Financial Bancorp, Inc. (“Premier”) appointed Douglas V. Reynolds as a director of Premier to fill the vacant board seat for the remaining term of the late Keith F. Molihan.

Prior to his appointment, Mr. Reynolds or his affiliates have entered into loan transactions with and currently have loans made by Premier’s subsidiary banks.  These transactions were made in the ordinary course of business, were made on substantially the same terms, including interest rates, collateral and repayment terms, as those prevailing at the time for comparable transactions with persons not related to Premier or its subsidiaries, and did not involve more than the normal risk of collectability or present other unfavorable features.
