These 100,000 shares are in addition to the 200,000 shares of the registrant’s common stock which were previously registered pursuant to the registrant’s Registration Statements on Form S-8 (Commission File Nos. 333-145577 and 333-173837) filed with the Securities and Exchange Commission (the “SEC”) on August 20, 2007 and May 2, 2011, respectively (collectively, the “Prior Registration Statements”). We have acted as counsel to IntriCon Corporation, a Pennsylvania corporation (the "Company"), in connection with the preparation of a Registration Statement on Form S-8 (the "Registration Statement") to be filed by the Company with the Securities and Exchange Commission under the Securities Act of 1933, as amended (the "Act"), relating to the offer and sale of up to 100,000 shares of the Company's common stock, par value $1.00 per share (the "Additional Shares"), issuable under the Company’s 2007 Employee Stock Purchase Plan, as amended (the “Plan”).
