Source And Amount of Funds or Other Consideration Item 3 of the Schedule 13D is hereby amended by replacing the first sentence of the seventh paragraph thereof with the following: "On January 12, 2000, CVC exchanged 1,096,610 shares of Non-Voting Common Stock for 1,096,610 shares of Common Stock and transferred 2,500,000 shares of Common Stock to Citigroup Foundation ("Foundation") by gift."
