ITEM 5.07                                       SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS

 

On August 16, 2011, the Board of Directors (the “Board) of The Cheesecake Factory Incorporated (the “Company”) determined that the Company will include in its proxy statement on an annual basis a stockholder advisory vote regarding compensation of the Company’s executive officers (i.e., “say on pay”).  On June 1, 2011, a majority of the Company’s stockholders indicated in an advisory vote that they preferred to vote on executive compensation on an annual basis.  The Board had previously recommended that a stockholder advisory vote regarding executive compensation occur every three years.
