On February 11, 2010, David R. Klock, Ph.D., notified the Board of Directors of The Cheesecake Factory Incorporated (the “Company”) that he will not stand for re-election as a director when his current term expires at the 2010 Annual Meeting of Stockholders.  Dr. Klock will retire from the Company’s Board of Directors and its Audit Committee and Corporate Governance and Nominating Committee at that time.  Dr. Klock’s departure is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.  The Company thanks Dr. Klock for his service as a director.
