Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Gary R. Schminkey, Executive Vice President and Chief Financial Officer of Columbia Banking System, Inc. (the “Company”) has retired effective May 10, 2012.

The Board of Directors has appointed Mr. Clint Stein, currently the Company’s Chief Accounting Officer as Acting Chief Financial Officer, effective May 10, 2012.

Mr. Stein joined the Company in December 2005, when he assumed the roles of Senior Vice President and Chief Accounting Officer. He has over 16 years of experience in banking and accounting and is a Certified Public Accountant.
