(b) On December 1, 2014, Mark S. Hoefing, Senior Vice President and Chief Operating Officer of Perceptron, Inc. (the "Company"), tendered his voluntary resignation effective December 12, 2014. Mr. Hoefing notified the Company that he has accepted another job opportunity.
