Item 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On August 17, 2007, Perceptron, Inc. (the “Company”) issued a press release announcing the Company’s preliminary revenue results for the fourth quarter and fiscal year ended June 30, 2007. Attached hereto and incorporated by reference as Exhibit 99.1 is the press release relating to such announcement. Such information, including Exhibit 99.1 attached hereto under Item 9.01, shall not be deemed "filed" for purposes of Section 18 of the Securities Act of 1934, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, except as shall be expressly set forth by specific reference in such filing.

The Company also announced that it has rescheduled its conference call/ webcast chaired by Alfred A. Pease, president and chief executive officer to discuss fourth quarter and fiscal year 2007 year end earnings to Tuesday, August 28, 2007 at 10:00 AM (EDT). The Company rescheduled the call solely to permit the completion of tax calculations relating to the Company and its foreign subsidiaries.

PLYMOUTH, Michigan, August 17, 2007: Perceptron, Inc. (Nasdaq: PRCP) announced that it expects to report record quarterly revenue in the range of $22.4 to $23.4 million for the fourth quarter of fiscal year 2007. The Company also announced that it expects to report fiscal year 2007 revenue in the range of $61.3 to $62.3 million. The Company also expects to report that it will be profitable for both the fourth quarter and for fiscal year 2007 as a whole.

The Company also announced that it has rescheduled its conference call/webcast chaired by Alfred A. Pease, chairman, president and chief executive officer to discuss fourth quarter and fiscal 2007 year end earnings to Tuesday, August 28, 2007 at 10:00 AM (EDT).

The Company has rescheduled the call solely to permit the completion of tax calculations relating to the Company and its foreign subsidiaries.
