(a) 4,502 shares were issued pursuant to the Company's Amended Non-Employee
Director Plan and remain subject to forfeiture as of November 30,
2001.
(c) 11.6817 shares were acquired pursuant to the Ultramar Diamond Shamrock
Corporation DIvidend Reinvestment Plan at prices ranging from $51.42
to $52.45 on June 6, 2001 and September 5,
2001.
(d) Shares are registered in the name of Evelyn G. Schaefer Trust under trust
instrument dated August 5, 1980.  I disclaim beneficial ownership of all
such shares.
