Bearish Autocallable Absolute Return S&P 500® Index-Linked Notes due

OVERVIEW

The notes do not bear interest. Unless your notes are automatically called, the amount that you will be paid on your notes on the stated maturity date is based on the performance of the S&P 500® Index as measured from the trade date to and including the determination date.

Your notes will be automatically called if, on any call observation date (each trading day from but excluding the original issue date to but excluding the determination date), the closing level of the underlier decreases by more than 20% from the initial underlier level (set on the trade date and will be an intra-day level or the closing level of the underlier on the trade date). If your notes are automatically called, the return on your notes will be zero and you will receive a payment on the corresponding call payment date (the second business day after the call observation date) equal to the face amount of your notes.

If your notes are not automatically called, and the underlier return (the increase or decrease in the final underlier level on the determination date from the initial underlier level) is greater than or equal to 0%, the return on your notes at maturity will be positive and you will receive $1,040 for each $1,000 face amount of your notes. If the underlier return is less than 0% but greater than or equal to -20%, the return on your notes at maturity will be positive and will equal the absolute value of the underlier return (e.g., if the underlier return is -10%, your return will be +10%). If the underlier return is less than -20%, the return on your notes at maturity will be zero and you will receive $1,000 for each $1,000 face amount of your notes. If your notes are not automatically called and the underlier return is positive, the return on your notes will be limited to 4%. If the underlier return is negative, the return on your notes will not exceed 20%, even if the underlier return is less than -20%. If the underlier return is less than -20%, at maturity you will only receive the face amount of your notes.

By purchasing these notes, you primarily are taking the bearish view that the value of the underlier will decline such that the final underlier level will be less than the initial underlier level but greater than or equal to 80% of the initial underlier level. You are also taking that view that, even if the value of the underlier increases, the final underlier level will not be greater than 104% of the initial underlier level.

Payment amount at maturity (for each $1,000 face amount of your notes):

if the underlier return is greater than or equal to 0%, $1,040;

if the underlier return is less than 0% but greater than or equal to -20%, the sum of (i) $1,000 plus (ii) the product of (a) $1,000 times (b) the absolute value of the underlier return; or

if the underlier return is less than -20%, $1,000.

Initial underlier level:

to be determined on the trade date and will be an intra-day price or the closing price of one share of the index stock on the trade date

Final underlier level:

the closing level of the underlier on the determination date

Absolute Underlier Return:

the absolute value of the underlier return, expressed as a percentage (e.g., a -10% underlier return will equal a +10% absolute underlier return)

Underlier return:

the quotient of (i) the final underlier level minus the initial underlier level divided by (ii) the initial underlier level, expressed as a percentage

Contingent return:

4%

Company’s redemption right:

if a redemption event occurs, then the outstanding face amount will be automatically redeemed in whole and the company will pay an amount in cash on the following call payment date, for each $1,000 of the outstanding face amount, equal to $1,000

Redemption event:

a redemption event will occur if, as measured on any call observation date, the closing level of the underlier is less than 80% of the initial underlier level

Call observation dates:

expected to be each day from but excluding the original issue date to but excluding the determination date
