Explanation of Responses:

1. As additional consideration for a loan, on October 21, 1999 Zunicom, Inc. issued to Caspic International, Inc. Warrants to acquire 250,000 shares of common stock at $0.73 per share. On February 23, 2006 exercised these Warrants and acquired 250,000 shares of common stock of Zunicom, Inc. William Kim Wah Tan is an officer and principal shareholder of Caspic International, Inc.

2. Mr. Tan owns incentive stock options to purchase 400,000 shares of common stock of Zunicom, Inc.

3. Mr. Wah also owns: 1,383,000 shares indirectly through Placement and Acceptance, Inc., 727,273 shares indirectly through Ventures International, Inc., and 75,000 shares directly.
