Item 5.02  Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers.

Michael J. Wolnik, the Senior Vice President, Treasurer and Chief Financial
Officer of First Ipswich Bancorp (the "Company") and its wholly owned
subsidiary, the First National Bank of Ipswich (the "Bank"), resigned from his
positions with the Company, the Bank and all of their direct and indirect
subsidiaries, effective September 26, 2005, in order to pursue other interests.

Donald P. Gill, the President and Chief Executive Officer of the Company and the
Bank, will also serve as the interim Treasurer and Chief Financial Officer of
the Company and the Bank in addition to his other duties until a new Treasurer
and Chief Financial Officer is appointed.
