Item 8.01 Other Events.

     On February 25, 2009, American Locker Group Incorporated (the “Company”) issued a press release, which is attached hereto as Exhibit 99.1 and incorporated herein by reference, announcing that the City of Grapevine had decided to take no further action regarding its proposed purchase of the Company’s manufacturing facility and corporate headquarters and detailing the Company’s efforts to cope with the effects of the current credit crisis and to obtain additional liquidity. The press release also notes that, if the Company is unsuccessful in obtaining additional liquidity, it might be forced to seek protection under Chapter 11 of the United States Bankruptcy Code.
