Item 8.01 Other Events

On April 7, 2008, Ophthalmic Imaging Systems (the "Company") announced that its Board of Directors has authorized the repurchase of 1,000,000 shares of the Company's common stock. The repurchase program does not require the Company to acquire a specific number of shares. The Board of Directors may amend, suspend or terminate the repurchase program at any time and will reevaluate the program after the first $100,000 is invested. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
