Item 1.01 Entry into a Material Definitive Agreement.

On September 19, 2013, Authentidate Holding Corp. further amended its board nomination and observer agreement with Lazarus Investment Partners LLLP. Pursuant to this amendment, we again extended by 90 days, to December 18, 2013, the time period within which Lazarus Investment Partners can exercise its right to nominate an individual for election to our board of directors.
