(b) On February 3, 2011, Harry J. Silverman, a member of the Board of Directors of Authentidate Holding Corp. (the “Company”), notified the Company of his intention to not stand for reelection at the Company’s next annual meeting of stockholders. In informing the Board of his decision, Mr. Silverman stated that he did not have any disagreements with the Company on any matter relating to its operations, policies or practices. The Company did not announce any plans to replace Mr. Silverman on the Board of Directors at this juncture.
