Item 8.01 Other Events.

On June 15, 2009, Authentidate Holding Corp. (the “company”) announced that it was notified by The Nasdaq Stock Market that, as a result of the company’s common stock closing at $1.00 per share or more for a minimum of 10 consecutive business days, it has regained compliance with the minimum bid price requirement for continued listing on the Nasdaq Capital Market. A copy of the company’s press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
