(b)  On February 25, 2020, Robert E. Munzenrider, a member of our Board of Directors since 2004, informed the Board that he will be retiring as a director following the Annual Meeting of Shareholders on May 19, 2020, and that he will not stand for re-election upon the expiration of his term at the Company’s 2021 Annual Meeting of Stockholders. The Board appointed Mr. Munzenrider as a Director Emeritus, effective May 20, 2020, and running through the Company’s 2021 Annual Meeting.
