Item 2.02 Results of Operations and Financial Condition.

On March 7, 2007, The Men’s Wearhouse, Inc. (the “Company”) issued a press release reporting its earnings results for its fourth quarter and year ended February 3, 2007. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

On March 7, 2007, the Company also announced that its Board of Directors declared a quarterly cash dividend of $0.06 per share on the Company’s common stock, payable on July 6, 2007 to shareholders of record at the close of business on June 27, 2007.
