(&quot;Antaeus&quot;), the corporation which owns the subject securities.  Mr. Beinecke is the president and a director of Antaeus.  On June 29, 2004 Antaeus effected a dividend of Common Stock of Catalina Marketing Corporation distributing a total of 116,000 shares of Common Stock to the four trusts described above.  Therefore, the amount of securities disposed of and indirectly owned by Mr. Beinecke constitute 25% of the total amount of securities  disposed of as a dividend and held by Antaeus following such dividend.  Mr. Beinecke is the beneficiary of one of the trusts that owns Antaeus but has no control over investment decisions by that trust.</footnote>
