     The following disclosure is being furnished pursuant to Item 2.02 Results of Operations and Financial Condition, of Form 8-K. On November 4, 2004, Catalina Marketing Corporation issued a press release announcing its financial results for its second quarter and six months ended September 30, 2004.      On November 4, 2004, commencing at 10:00 a.m., Catalina Marketing Corporation hosted a webcast. Certain financial information relating to Catalina Marketing Corporation that was not expressly included in the press release referenced above was disclosed during the webcast. A copy of the script used during the webcast containing such financial information is included as Exhibit 99.2 to this Report on Form 8-K and incorporated herein by reference.
